Costs

Our fees for the incorporation (deed of incorporation, articles of incorporation, authentication and application with the Commercial Register) are based on the notaries' fee-ordinance and are calculated on the basis of the company capital. With us, the incorporation of a Ltd with a capital of up to CHF 200,000 costs around CHF 1,200 plus VAT and plus the fees of the Commercial Register.

Domicile

Your company needs a physical address in Switzerland. If the company has no owned or rented facilities, please indicate "c/o" + name of the domicile holder.

Purpose of the company

e.g. Fabrication of furniture Swiss law does not require a detailed list of individual activities. A short general description is sufficient.

Company capital

Not less than CHF 100'000

Company capital paid-in

Not less than 20 percent of the company capital, at least CHF 50'000. The contribution can be in cash or in kind.

Contribuation in cash

The capital must be deposited with a Swiss bank (so-call Kapitaleinzahlungskonto or compte de consignation de capital)

Contribution in kind

Please indicate the assets and their value. A contribution in kind agreement, a formation report and an audit report from an admitted auditor are required. Such documents are not included in the incorporation price.

Auditors

If balance sheet total does not exceed CHF 10 million and business volume does not exceed CHF 20 million, one can forgo an audit, as long as there are less than 10 full time company employees in the annual average.

Founder(s)

Please indicate per founder: Name, address (for companies registered office / for private persons address of residence) and share in the company (%). Once we have read your message, we will contact you and ask you to send us copies of the founder's passports.

Board Member(s)

Please indicate per board member: Name, address of residence and signatory power (e.g. sole signature, joint signature at two). At least a member of the board or a director with sole signature power (or two members or directors with joint signature power at two) must be Swiss resident. If there are several members, please let us know who is chairman. Once we have read your message, we will contact you and ask you to send us copies of the member's passports.

Director(s)

The Board is the highest executive body. The Directors are one level below it and are appointed by the Board. We require the same information as for board members.
